1.1 These General Terms and Conditions (hereinafter "GTC") apply to all contracts for consulting, training and other services concluded between ISG – Privatinstitut für Nachhaltigkeits- und Impact-Strategien GmbH, Wilhelmsaue 11, 10715 Berlin (hereinafter "ISG" or "Contractor"), and its clients (hereinafter "Client" or "Customer").
1.2 ISG provides services in particular in the following areas:
1.3 These GTC apply exclusively. Any conflicting, deviating or supplementary general terms and conditions of the Client shall only become part of the contract if ISG has expressly agreed to their application in writing.
1.4 ISG primarily addresses companies, municipalities, foundations and institutional investors (B2B). Insofar as consumers within the meaning of § 13 BGB act as clients, the statutory consumer protection provisions apply in addition.
2.1 All offers made by ISG are subject to change and non-binding, unless they are expressly marked as binding.
2.2 A contract is only formed upon ISG's written order confirmation or upon commencement of the provision of services.
2.3 For bookings of Academy events (seminars, workshops), the contract is formed by a confirmation email following registration.
2.4 Amendments, additions and ancillary agreements require written form to be effective (email is sufficient).
3.1 The specific scope of services results from the respective offer, project contract or service description.
3.2 ISG provides its services as a service performance (service contract pursuant to §§ 611 et seq. BGB), unless otherwise agreed. A specific economic outcome is only owed if this has been expressly agreed in writing.
3.3 The Client is obliged to provide ISG with all information, documents and access necessary for the provision of services in good time and in full. Delays attributable to inadequate cooperation by the Client shall not be to ISG's detriment.
3.4 ISG is entitled to engage qualified third parties (subcontractors, freelancers, network experts) to provide the services, provided this is reasonable for the Client.
4.1 Remuneration is based on the fees agreed in the respective contract or offer. All prices are exclusive of statutory value added tax.
4.2 Invoices are payable in full within 14 days of the invoice date, unless otherwise agreed.
4.3 In the event of late payment, ISG is entitled to charge default interest of 9 percentage points above the base rate pursuant to § 247 BGB (§ 288(2) BGB for transactions between businesses).
4.4 For Academy events, the seminar fee is generally due before the start of the event.
4.5 Travel costs and expenses will, where agreed, be invoiced separately at cost.
5.1 Cancellations of seminar and workshop bookings must be made in writing.
5.2 The following cancellation deadlines apply:
5.3 ISG reserves the right to cancel events up to 5 working days before the start due to insufficient participant numbers or for good cause. In this case, payments already made will be refunded in full; any further claims by the participant are excluded.
6.1 All works, concepts, studies, reports, presentations and other materials created in the course of performing the engagement (hereinafter "work results") are protected by copyright.
6.2 Upon full payment of the agreed remuneration, ISG grants the Client a simple, non-transferable, unlimited-in-time right to use the work results in accordance with the contract.
6.3 Without ISG's express written consent, the Client is prohibited from: passing the work results on to third parties, making them publicly accessible, and editing or further developing them.
6.4 Training materials (presentations, handouts, scripts) are provided to participants for personal use only.
7.1 Both parties undertake to treat all confidential information received from the other party in the course of the cooperation as strictly confidential and not to disclose it to third parties.
7.2 Confidential information means all information that is marked as such or whose confidentiality is apparent from the circumstances (in particular business strategies, customer data, financial data, concepts).
7.3 This obligation continues to apply for a period of 3 years after the end of the contract.
8.1 ISG is liable without limitation for damages based on intent or gross negligence.
8.2 In the case of slight negligence, ISG is only liable for the breach of material contractual obligations (cardinal obligations). In this case, liability is limited to the foreseeable damage typical for the contract, up to a maximum of the remuneration agreed in the respective contract.
8.3 Liability for indirect damage, consequential damage, loss of profit and data loss is excluded in the case of slight negligence.
8.4 The above limitations of liability do not apply to damages resulting from injury to life, body or health, or to claims under the German Product Liability Act.
8.5 ISG provides consulting services on the basis of the legal situation applicable at the time the services are provided and generally recognised professional standards. Consulting services do not replace legal or tax advice from licensed lawyers or tax advisors.
9.1 The term of the contract is governed by the provisions of the respective project contract.
9.2 Continuing obligations may be terminated by either party with ordinary notice of 4 weeks to the end of the month, unless otherwise agreed.
9.3 The right to extraordinary termination for good cause remains unaffected. Good cause exists for ISG in particular if the Client is more than 30 days in arrears with a due payment and fails to pay despite a reminder.
9.4 Termination must be made in writing.
10.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
10.2 The exclusive place of jurisdiction for all disputes arising from or in connection with these GTC is Berlin, provided the Client is a merchant, a legal entity under public law or a special fund under public law.
10.3 Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
10.4 ISG is entitled to amend these GTC with reasonable notice (at least 4 weeks). Existing contracts remain unaffected.

These withdrawal instructions apply exclusively to consumers within the meaning of § 13 BGB (natural persons who conclude a legal transaction for purposes that are predominantly outside their trade, business or profession). Entrepreneurs have no statutory right of withdrawal.
You have the right to withdraw from this contract within fourteen days without giving any reason.
The withdrawal period is fourteen days from the day the contract is concluded (in the case of service contracts, i.e. when booking a seminar or workshop).
To exercise your right of withdrawal, you must inform us of your decision to withdraw from this contract by means of a clear statement (e.g. a letter sent by post or an email):
You may use the attached model withdrawal form for this purpose, although it is not mandatory. To meet the withdrawal deadline, it is sufficient for you to send your notification of the exercise of the right of withdrawal before the withdrawal period expires.
If you withdraw from this contract, we shall reimburse all payments we have received from you without undue delay and no later than within fourteen days from the day on which we receive notification of your withdrawal from this contract. For this reimbursement, we will use the same means of payment that you used for the original transaction, unless expressly agreed otherwise with you; in no case will you be charged any fees for this reimbursement.
If you have requested that the services (seminar, workshop) begin during the withdrawal period, you must pay us a reasonable amount corresponding to the proportion of services already provided up to the point at which you notify us of the exercise of the right of withdrawal in relation to the total scope of services provided for in the contract (§ 357(8) BGB).
In the case of a contract for the provision of services, the right of withdrawal expires early if ISG has fully provided the service and only began performing the service after you had given your express consent and at the same time confirmed your awareness that you would lose your right of withdrawal upon full performance of the contract by ISG (pursuant to § 356(4) BGB).

As of: April 2026 | These terms of use apply in addition to the GTC for all bookings and participation in seminars, workshops, online courses and other educational events of the ISG Academy.
These terms of use apply to all ISG Academy events – whether in person, as an online seminar (webinar) or as a hybrid format. They apply to companies, private individuals and all other participants.
2.1 Booking is made via the online form on i-sg.eu, by email or by phone.
2.2 A binding contract is formed upon receipt of the booking confirmation from ISG.
2.3 A place is only secured once the booking confirmation has been received. In the event of overbooking: whoever books first has priority.
2.4 For group registrations (3+ persons), special conditions may be agreed on request.
3.1 All seminar materials, presentations, handouts, case studies and other materials are protected by copyright and are the property of ISG or the respective speakers.
3.2 Participants are granted a simple, non-transferable right of use for personal, non-commercial use.
3.3 The following actions are prohibited without ISG's express written consent:
4.1 Audio or video recordings of the events – even for private use – are not permitted without the express consent of ISG and all persons present.
4.2 ISG reserves the right to photograph or record events for documentation and marketing purposes. Participants will be informed of this on site and may object to being recorded.
All participants are expected to observe:
ISG reserves the right to exclude participants from the event in the event of grossly disruptive behaviour. In this case, there is no entitlement to a refund of the seminar fees.
6.1 To participate in online seminars and webinars, participants require: a stable internet connection, an up-to-date browser or Zoom/Teams client, a microphone (for interactive formats) and, where applicable, a webcam.
6.2 ISG accepts no liability for technical problems on the participant's side (e.g. internet connection, hardware).
6.3 Access data (links, meeting IDs) are personal and may not be passed on to third parties. Passing them on constitutes a copyright infringement.
7.1 On request, ISG issues a confirmation of participation or a certificate upon full participation.
7.2 Full participation means attendance for at least 80% of the event time.
7.3 The issuance of certificates that can be credited towards specific professional regulations or accreditations is only promised if this has been expressly agreed at the time of booking.
In connection with seminar registrations and their conduct, ISG processes participants' personal data. Details can be found in our Privacy Policy. For online events, video conferencing tools (e.g. Zoom) may be used, which have their own privacy notices.
